1. Acceptance / การยอมรับ

EN — This Provider Agreement ("Agreement") is between you ("Provider," "you") and [LEGAL ENTITY NAME] ("SiamNode"). By clicking to accept, claiming a Listing, or using Provider features, you agree to this Agreement and to the SiamNode Terms of Service and Privacy Policy, which are incorporated by reference. Your electronic acceptance is valid under the Electronic Transactions Act B.E. 2544.

2. Eligibility and Authority / คุณสมบัติและอำนาจ

EN — You represent and warrant that you are the business listed or are duly authorised to act on its behalf, that you have the legal capacity to enter into this Agreement, and that the information you provide is true, accurate, and not misleading.

TH — ท่านรับรองและรับประกันว่า ท่านเป็นธุรกิจที่ปรากฏในรายการ หรือได้รับมอบอำนาจโดยชอบให้กระทำการแทน ท่านมีความสามารถตามกฎหมายในการเข้าทำข้อตกลงนี้ และข้อมูลที่ท่านให้เป็นความจริง ถูกต้อง และไม่ทำให้เข้าใจผิด

3. Your Information and Content; Licence / ข้อมูลและเนื้อหาของท่าน และการให้สิทธิ์

EN — You are responsible for the content you submit (text, photos, prices, location, etc.). You grant SiamNode a non‑exclusive, royalty‑free, worldwide licence to host, store, reproduce, and display that content, and to adapt it as reasonably necessary to display and promote your Listing on the Service. You warrant that you own or have the rights to the content (including photographs) and that it does not infringe third‑party rights. You may edit or remove your content, and the licence ends for content you remove, except for copies retained as required by law or in routine backups.

4. Your Relationship With Customers / ความสัมพันธ์ของท่านกับลูกค้า

EN — Customers contact and contract with you directly. You are solely responsible for your quotations, pricing, scope, scheduling, the services you deliver, customer service, refunds, and for complying with all laws and holding any licences required for your business. SiamNode is not a party to your dealings with customers and does not guarantee or take responsibility for them.

5. The "Verified Owner" Badge / ตราสัญลักษณ์ "Verified owner"

EN — When SiamNode confirms your claim, your Listing may show a "Verified owner" badge. This badge indicates only that ownership of the Listing has been claimed and confirmed. It is not a quality endorsement or certification by SiamNode, and you agree not to represent it as such.

6. Acceptable Conduct / ความประพฤติที่ยอมรับได้

EN — You agree not to: post false, misleading, defamatory, or infringing content; advertise illegal goods or services; impersonate another business; manipulate the Service; or otherwise breach the Terms of Service. SiamNode may remove content or suspend Listings that violate this Agreement or the law.

7. Paid Features, Fees, and Billing / ฟีเจอร์แบบเสียค่าใช้จ่าย ค่าธรรมเนียม และการเรียกเก็บเงิน

EN — SiamNode may offer optional paid features — for example, subscription tiers, enhanced visibility, analytics, and AI tools. Where you purchase a paid feature: fees, the billing cycle, and renewal terms will be presented to you before purchase; fees are for SiamNode's own services and are separate from, and not a commission on, any payment between you and a customer. Unless stated otherwise or required by law, fees are non‑refundable for periods already started. We may change features or fees on reasonable notice; changes do not apply retroactively to a period already paid.

8. Data Protection / การคุ้มครองข้อมูลส่วนบุคคล

EN — Each party will comply with the PDPA. SiamNode handles personal data as described in its Privacy Policy. If, through the Service, you receive personal data of customers (for example, contact details), you are responsible for handling that data lawfully under the PDPA.

TH — คู่สัญญาแต่ละฝ่ายจะปฏิบัติตาม PDPA SiamNode จัดการข้อมูลส่วนบุคคลตามนโยบายความเป็นส่วนตัว หากท่านได้รับข้อมูลส่วนบุคคลของลูกค้าผ่านบริการ (เช่น ข้อมูลติดต่อ) ท่านมีหน้าที่จัดการข้อมูลนั้นโดยชอบด้วยกฎหมายภายใต้ PDPA

9. Indemnification / การชดใช้ค่าเสียหาย

EN — To the extent permitted by law, you will indemnify and hold harmless SiamNode from claims, damages, and costs arising out of your content, your services, your dealings with customers, your breach of this Agreement, or your violation of law or third‑party rights.

TH — เท่าที่กฎหมายอนุญาต ท่านจะชดใช้และปกป้อง SiamNode จากข้อเรียกร้อง ความเสียหาย และค่าใช้จ่ายที่เกิดจากเนื้อหาของท่าน บริการของท่าน การติดต่อกับลูกค้า การที่ท่านผิดข้อตกลงนี้ หรือการที่ท่านละเมิดกฎหมายหรือสิทธิ์ของบุคคลภายนอก

10. Disclaimers and Liability / การปฏิเสธการรับประกันและความรับผิด

EN — SiamNode's services to you are provided "as is." To the maximum extent permitted by law, SiamNode is not liable for your dealings with customers, for lost profits or business, or for indirect or consequential damages. (Lawyer to confirm any liability cap and the limits set by the Consumer Protection Act / Unfair Contract Terms Act B.E. 2540.)

11. Suspension and Termination / การระงับและการยุติ

EN — Either party may terminate this Agreement at any time. SiamNode may suspend or terminate your Listing or Provider features for breach of this Agreement or the law. On termination, the licence in Section 3 ends except for lawful retention and routine backups; fees already paid are handled per Section 7.

12. Changes to this Agreement / การเปลี่ยนแปลงข้อตกลง

EN — We may update this Agreement on reasonable notice. Material changes will be posted with a new "Last updated" date and, where appropriate, notified to you. Continued use of Provider features after changes take effect constitutes acceptance.

TH — เราอาจปรับปรุงข้อตกลงนี้โดยแจ้งล่วงหน้าตามสมควร การเปลี่ยนแปลงในสาระสำคัญจะเผยแพร่พร้อมวันที่ "ปรับปรุงล่าสุด" ใหม่ และแจ้งให้ท่านทราบเมื่อเหมาะสม การใช้ฟีเจอร์สำหรับผู้ให้บริการต่อไปหลังการเปลี่ยนแปลงมีผล ถือเป็นการยอมรับ

13. Governing Law and Disputes / กฎหมายที่ใช้บังคับและข้อพิพาท

EN — This Agreement is governed by the laws of the Kingdom of Thailand. (Lawyer to specify dispute resolution and competent court.)

TH — ข้อตกลงนี้อยู่ภายใต้บังคับแห่งกฎหมายของราชอาณาจักรไทย (นักกฎหมายระบุการระงับข้อพิพาทและศาลที่มีเขตอำนาจ)

14. Record of Acceptance / บันทึกการยอมรับ

EN — We record your acceptance of this Agreement — including the account, the version accepted, and the date/time — as evidence under the Electronic Transactions Act B.E. 2544. (See the SiamNode clickwrap acceptance mechanism.)

TH — เราบันทึกการยอมรับข้อตกลงนี้ของท่าน — รวมถึงบัญชี เวอร์ชันที่ยอมรับ และวันที่/เวลา — เพื่อเป็นพยานหลักฐานตาม พ.ร.บ. ว่าด้วยธุรกรรมทางอิเล็กทรอนิกส์ พ.ศ. 2544 (ดูกลไกการยอมรับแบบ clickwrap ของ SiamNode)
